1.1. These Terms & Conditions (“Terms”) govern access to and use of BCL OneCampus ERP (“OneCampus”, “Platform”, or “Service”) provided by BaseCode Labs Pvt. Ltd. (“BaseCode Labs”, “we”, “us”, or “our”).
1.2. By accessing, registering for, or using OneCampus — including web portals, Android apps, iOS apps (when available), APIs, and related services — you agree to be bound by these Terms and our Privacy Policy.
1.3. If you use OneCampus on behalf of an educational institution, you represent that you are authorised to accept these Terms for that Institution.
1.4. If you do not agree to these Terms, you must not use the Service.
1.5. These Terms are intended for institutional and end-user clarity and do not constitute legal advice.
2.1. “Institution” means the school, college, university, or educational organisation that subscribes to OneCampus.
2.2. “User” means any individual authorised by an Institution to access OneCampus, including students, parents/guardians, faculty, staff, administrators, and other permitted roles.
2.3. “Institutional Data” means academic, administrative, financial, and operational data entered into or generated within an Institution’s OneCampus environment.
2.4. “Subscription” means the paid right to access OneCampus for a defined period under a commercial agreement or order form.
2.5. “Payment Gateway” means a third-party payment service used to process online fee or related payments.
3.1. OneCampus is a cloud-based Campus Management System that may include modules such as Admissions; Student Information System; Staff Management; Attendance; Academic Management; Curriculum Management; Subject Registration; Examination Management; Marks & Result Processing; Fee Management; Finance & Accounting; Online Fee Payments; Library; Hostel; Transport; HR & Payroll; Recruitment; Timetable; Mobile Applications; Parent, Student, and Faculty Portals; AI Assistant; Reports & Analytics; Notifications; and Document Management.
3.2. Module availability depends on the Institution’s subscription plan, configuration, and implementation scope.
3.3. BaseCode Labs may enhance, modify, or discontinue features with reasonable notice where practicable, provided core subscribed services continue substantially as agreed for the active Subscription term.
3.4. Professional services such as implementation, data migration, training, and customisation may be governed by separate statements of work or commercial proposals.
4.1. Access to OneCampus requires a user account created or authorised by the Institution (or by BaseCode Labs at the Institution’s request).
4.2. Users must provide accurate information and keep profile details reasonably up to date where self-service editing is permitted.
4.3. Accounts are personal to the assigned User unless the Institution expressly configures shared operational accounts under its own policy and risk acceptance.
4.4. BaseCode Labs may suspend accounts that pose a security risk, violate these Terms, or are instructed for suspension by the Institution.
Users agree to use OneCampus only for lawful educational and administrative purposes authorised by the Institution; keep login credentials confidential; ensure submitted information is accurate; respect the privacy and rights of others; comply with applicable laws and institutional policies; and use mobile/web features only as intended for institutional workflows.
Institutions are responsible for designating administrators and managing roles; ensuring authority to collect and process Institutional Data; configuring academic, fee, examination, and operational rules; verifying critical outputs before official use; maintaining internal policies; selecting and monitoring Payment Gateways; and paying Subscription fees and applicable taxes as agreed.
7.1. Users and Institutions must not attempt unauthorised access; interfere with Platform integrity or availability; upload malware or unlawful content; harass others; use OneCampus for spam or fraud; bypass security or licensing controls; or scrape/bulk-extract data except through authorised exports and permissions.
7.2. BaseCode Labs may investigate suspected violations and take proportionate action, including warnings, feature restriction, suspension, or termination, and may notify the Institution.
8.1. Users and Institutions are responsible for safeguarding credentials, devices, and access tokens under their control.
8.2. BaseCode Labs implements security measures described in our Privacy Policy, including HTTPS transmission and protected password storage.
8.3. Compromised accounts should be reported immediately to the Institution administrator and, where appropriate, to BaseCode Labs support.
8.4. Multi-user misuse arising from shared passwords or unmanaged devices remains the responsibility of the Institution and affected Users.
9.1. BaseCode Labs owns all rights, title, and interest in OneCampus, including software, source code, object code, designs, interfaces, documentation, trademarks, logos, and related intellectual property, except for Institutional Data and third-party materials.
9.2. Institutions and Users receive no ownership interest in the software by virtue of access or Subscription.
9.3. Feedback provided to BaseCode Labs may be used to improve the Service without obligation to the provider of feedback.
9.4. Unauthorised copying, modification, distribution, public display, reverse engineering, decompilation, or creation of derivative works of OneCampus is prohibited except to the limited extent that applicable law expressly permits despite this restriction.
10.1. OneCampus is licensed, not sold.
10.2. Subject to timely payment and compliance with these Terms, BaseCode Labs grants the Institution a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use OneCampus during the Subscription term for the Institution’s internal educational and administrative operations.
10.3. End Users receive a personal, limited right to use the Platform solely as authorised by the Institution and these Terms.
10.4. No license is granted to resell, rent, lease, or white-label OneCampus without written agreement; use the Service to build a competing product; remove proprietary notices; or exceed licensed user counts, campuses, or modules where such limits apply.
11.1. Access to OneCampus is generally provided on a Subscription basis (for example, annual subscription based on student strength, modules, and commercial terms agreed with the Institution).
11.2. Commercial details — including fees, included modules, implementation charges, and support levels — are set out in the applicable proposal, quotation, invoice, or service agreement.
11.3. BaseCode Labs may offer different plans or packages. Feature comparisons in marketing materials are illustrative unless incorporated into a signed commercial document.
12.1. Unless otherwise agreed in writing, Subscriptions renew on an annual basis for successive terms.
12.2. Renewal fees may be revised with prior notice to the Institution before the renewal date.
12.3. Institutions that do not wish to renew should provide written notice within the period stated in their commercial agreement (or, if unspecified, at least thirty (30) days before renewal).
12.4. Continued use after renewal constitutes acceptance of the renewed Subscription term and applicable fees.
13.1. Institutions shall pay all Subscription, implementation, and support fees as invoiced, including applicable taxes.
13.2. Late payments may result in suspension of access after notice, without prejudice to BaseCode Labs’ right to recover outstanding amounts.
13.3. Online student/parent fee payments made through OneCampus are payments to the Institution (or its designated merchant account) via Payment Gateways. Those transactions are separate from Subscription fees payable by the Institution to BaseCode Labs, unless expressly stated otherwise.
13.4. Payment gateway charges, settlement timelines, chargebacks, and merchant rules are governed by the respective payment provider and the Institution’s merchant agreement.
14.1. Subscription fees are generally non-refundable once a Subscription term has commenced, except where required by law or expressly agreed in writing.
14.2. Implementation or customisation fees for work already performed are non-refundable.
14.3. Refunds of student fee payments processed through Payment Gateways are the responsibility of the Institution and/or the payment provider according to their policies. BaseCode Labs does not control settlement or refunds of institutional fee collections.
14.4. Any approved refund by BaseCode Labs will be processed through the original payment method where reasonably possible.
15.1. BaseCode Labs aims to provide reliable availability of OneCampus and will use commercially reasonable efforts to minimise downtime.
15.2. The Service may be temporarily unavailable due to maintenance, updates, infrastructure failures, network issues, or events beyond our reasonable control.
15.3. BaseCode Labs is not responsible for outages, delays, or failures caused by third-party providers, including cloud hosts, internet providers, SMS/email gateways, device manufacturers, app stores, or Payment Gateways.
15.4. Specific uptime commitments, if any, will be stated in a separate service level agreement (SLA).
16.1. BaseCode Labs may perform scheduled or emergency maintenance to improve security, performance, and functionality.
16.2. Software updates, patches, and enhancements may be deployed automatically as part of the cloud Service.
16.3. Mobile applications may require Users to update to a supported version to continue receiving full functionality and security fixes.
16.4. Institutions should allocate reasonable time for user communication when material changes affect workflows.
17.1. Institutions retain ownership of their Institutional Data, including student, staff, academic, fee, and operational records.
17.2. BaseCode Labs does not claim ownership of Institutional Data.
17.3. BaseCode Labs may process Institutional Data solely to provide, secure, support, and improve the Service, and as otherwise described in the Privacy Policy and applicable agreements.
17.4. Upon termination, Institutions may request export of reasonably available Institutional Data in a mutually agreed format, subject to outstanding payment obligations and technical feasibility.
18.1. Each party may receive confidential information of the other, including commercial terms, technical details, and Institutional Data.
18.2. Recipients shall protect confidential information using reasonable care and use it only for purposes of performing under these Terms or the applicable agreement.
18.3. Confidentiality obligations do not apply to information that is public through no fault of the recipient, independently developed, rightfully received from a third party without duty of confidence, or required to be disclosed by law (with notice where legally permitted).
19.1. OneCampus may integrate with or link to third-party services, including Payment Gateways, SMS/email providers, analytics tools, and cloud infrastructure.
19.2. Third-party services are subject to their own terms and privacy policies.
19.3. BaseCode Labs is not responsible for third-party acts, omissions, pricing, settlements, content, or security incidents outside BaseCode Labs’ reasonable control.
19.4. Enabling a third-party integration constitutes Institution authorisation for necessary data exchange to operate that integration.
20.1. Mobile applications are provided as a convenience for authorised Users and may not include every web feature.
20.2. App store distribution (Google Play, Apple App Store, and others) is also subject to the respective store’s terms.
20.3. Users are responsible for device compatibility, OS updates, and mobile data charges.
20.4. BaseCode Labs may update minimum supported OS versions over time for security reasons.
20.5. These Terms apply equally to Android and future iOS applications branded for BCL OneCampus ERP / institutional deployments powered by OneCampus.
21.1. Optional AI Assistant features may generate suggestions, summaries, or answers based on prompts and available institutional context.
21.2. AI outputs may contain errors, omissions, or outdated information and are provided “as is” for assistance only.
21.3. Users and Institutions must independently verify AI outputs before relying on them for academic decisions, financial actions, disciplinary matters, compliance filings, or official communications.
21.4. BaseCode Labs does not warrant that AI features will meet every institutional requirement or produce specific outcomes.
22.1. To the maximum extent permitted by applicable law, BaseCode Labs shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, data, or business opportunities.
22.2. To the maximum extent permitted by law, BaseCode Labs’ total aggregate liability arising out of or related to OneCampus or these Terms shall not exceed the fees paid by the Institution to BaseCode Labs for the Service during the twelve (12) months preceding the claim.
22.3. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
22.4. BaseCode Labs is not liable for decisions made by Institutions or Users based on reports, dashboards, notifications, or AI outputs without appropriate human review.
23.1. Institutions agree to indemnify and hold harmless BaseCode Labs and its directors, officers, employees, and agents from claims arising out of Institutional Data and its lawful collection/use; misuse of OneCampus by the Institution or its Users; violation of these Terms or applicable law; disputes between the Institution and its students, parents, staff, or vendors; and Payment Gateway chargebacks, refunds, or merchant disputes related to institutional collections.
23.2. Users agree to indemnify BaseCode Labs against claims arising from their breach of these Terms or unlawful use of the Service, to the extent permitted by law.
24.1. Either party may terminate a Subscription as provided in the applicable commercial agreement.
24.2. BaseCode Labs may suspend or terminate access immediately if fees remain unpaid after notice; there is a material breach of these Terms; continued use creates security, legal, or operational risk; or required by law.
24.3. Upon termination, the license to use OneCampus ends, and Institutions should cease access except for any agreed wind-down or data export period.
24.4. Sections that by nature should survive termination (including intellectual property, confidentiality, limitation of liability, indemnification, and governing law) shall survive.
25.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
25.2. Subject to the Dispute Resolution clause below, courts at the competent jurisdiction in India shall have authority over disputes, unless a signed commercial agreement specifies a different venue.
26.1. In the event of a dispute, the parties shall first attempt good-faith negotiation for thirty (30) days after written notice of the dispute.
26.2. If unresolved, disputes may be referred to mediation or arbitration as mutually agreed, or pursued before competent courts as permitted by law.
26.3. Nothing prevents either party from seeking interim injunctive relief to protect intellectual property, confidentiality, or data security.
27.1. Neither party shall be liable for delay or failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, epidemics, labour disputes, power or internet failures, and failures of third-party providers.
27.2. The affected party shall give prompt notice and use reasonable efforts to mitigate the impact.
28.1. BaseCode Labs may update these Terms from time to time.
28.2. The “Last Updated” date will be revised when changes are published at https://basecodelabs.com or within the Service.
28.3. Material changes will be communicated through reasonable means, such as website notice, administrator notification, or in-app message.
28.4. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires additional consent or where a signed agreement provides otherwise.
